Reference is made to the announcement pursuant to the Proposals on 5 December 2025, we wish to highlight that Section 1 of Appendix I, Salient terms of the Shareholders’ Agreement on page 22 and Section 6(a) of Appendix II, Salient terms of the JVA on page 27 should be read as follows:

(i)     Appendix I – Salient terms of the Shareholders’ Agreement

        The following sets out a summary of the salient terms of the Shareholders’ Agreement:

        1.     Shareholding structure of NIP

                The shareholding structure of NIP as at or around the date of the Shareholders’ Agreement are as follows:

(ii)     Appendix II – Salient terms of the JVA

         6.     Exclusive Distributorship

                 (a)     Exclusive Off-take and Distributorship Framework Agreement

                          Each of NIP, NGGB and IOI shall procure the SPV Company, and the SPV Company shall, enter into the Exclusive Off-take and Distributorship Framework Agreement with Xiamen C&D ("Off-take Framework Agreement") within three (3) days from the date of incorporation of the SPV Company. On 9 May 2025, Neuwhite, being the SPV Company, and Xiamen C&D entered into the Off-Take Framework Agreement.
