We refer to the announcements made on 21 October 2014 and 14 November 2014 in relation to Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.  

On behalf of the Board of Directors of BHS, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 2 January 2015, approved the following:

i. Listing of and quotation for up to 80,000,000 Bonus Shares to be issued pursuant to the Proposed Bonus Issue of Shares, on the Main Market of Bursa Securities; and

ii. Proposed Share Split. 

The approval granted by Bursa Securities for the above is subject to the following conditions: 

i. BHS and its adviser must fully comply with the relevant provisions under the Main Market Listing Requirements (“Main LR”) pertaining to the implementation of the Proposals;

ii. BHS and its adviser to inform Bursa Securities upon the completion of the Proposal; 

iii. BHS to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; 

iv. BHS to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at extraordinary general meeting for the Proposals; 

v. In respect of the Proposed Bonus Issue of Shares, BHS and its adviser are required to make the relevant announcement pursuant to Paragraph 6.35(2)(a) & (b) and 6.35(4) of the Main LR;

vi. BHS or its adviser is required to make the relevant announcement pursuant to paragraph 13.10(2) of the Main LR for the Proposed Share Split;

vii. BHS is required to ensure full compliance with all the requirements pertaining to the Proposals as provided under the Main LR at all times; and

viii. To incorporate the comments made in the draft circular to shareholders.
