The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the announcement dated 26 August 2016 in relation to the Private Placement.

We refer to the announcements dated 26 August 2016 and 1 September 2016 made by RHB Investment Bank Berhad (“RHB Investment Bank”) on behalf of the Board of Directors of BHS in relation to the Private Placement.

On behalf of the Board of Directors of BHS, RHB Investment Bank is pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, vide its letter dated 5 September 2016, resolved to approve the listing of and quotation for up to 61,743,550 Placement Shares to be issued pursuant to the Private Placement.

The approval by Bursa Securities for the Private Placement is subject to the following conditions:

1. BHS and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Private Placement;
2. BHS and RHB Investment Bank to inform Bursa Securities upon the completion of the Private Placement;
3. BHS to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Private Placement is completed; 
4. if relevant, BHS to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to Section 132D of the Companies Act, 1965 before the listing of the Placement Shares;
5. RHB Investment Bank must submit to Bursa Securities the placee’s details in accordance with Paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the Placement Shares; and
6. if applicable, payment of additional listing fee based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable.
