Reference is made to the Company’s announcements dated 8 November 2018, 13 February 2019, 10 April 2019, 11 April 2019, 10 July 2019, 10 October 2019 and 10 January 2020 in relation to the MOU between IHI Corporation, Nomura Holdings, Inc. and the Company (“Announcements”).

Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

The Company wishes to announce that the MOU, which came into effect on 18 November 2018, has expired on 25 September 2020 (“MOU Expiry”).

Following the MOU Expiry, the Parties have mutually agreed that neither Party shall have any claim whatsoever, directly or indirectly, against the other in respect of the MOU. The MOU Expiry will not have any material financial impact on NGGB and its subsidiaries.
